Terms and conditions

All trades made via Safegear.com, Safegear.dk or any other SafeGear's local website is between you, as a buyer, and

1. CREATING AN ORDER REQUEST

  1. When you request products via our website, our system will automatically send you an email stating which products you have requested. You should be aware that this automatic response email is NOT a legally binding order confirmation.

  2. Once we receive the request, we will contact you to process it and if possible propose a Contract by confirming:

    1. Products, quantity and price,

    2. Shipment method and cost,

    3. Payment method and cost.

By accepting these you will conclude the contract

Note: Depending on the location where you are based, some products may not be delivered, we will let you know and try to find the best solution for you.

3.     After confirming your contract, we will issue an invoice by email.

4.     Once the invoice is paid, the goods will be shipped and you will receive a confirmation email.

2. PRICES AND PRODUCTS

  • Unless otherwise indicated, all prices on the website are stated in EUR and are subject to change and VAT. Shipment prices are not included. We will discuss individually after the order request is submitted, depending on different factors: location, total order weight and type of products.

  • The prices on the website are for online or telephone purchases only, and may not be the same as in our mail order catalogues.

  • We reserve the right, by giving notice to you at any time before delivery, to increase the price of the Goods to reflect any increase in the cost to us which is due to any factor beyond our reasonable control, any change in delivery dates, quantities or specifications for the Goods which are requested by you, or any delay caused by your requirements or your failure to give us adequate information. You will be asked to re-confirm your order at the new price.

  • We reserve the right to alter the specification of products as necessary and offer an equivalent or better product in the event of stock anomalies. You will be asked to re-confirm.

  • If we fail to provide an equivalent product our liability should be limited to your reasonable cover costs.

 

3. PAYMENT

  • Almost all common payment methods are accepted by SafeGear. The payment will be discussed after we receive the order request, when we contact you to process the order.

  • All confirmed orders should be fully paid before the products are shipped, unless your company has an agreement with Safegear for specific payment terms.

  • If you fail to make any payment on the due date then we reserve the right to:

(a) cancel the Contract or suspend further deliveries to you;

(b) appropriate another payment made by this Contract

(c) charge for the delay at 0.5% above Libor, however not below 0%.

 

4. RETENTION OF TITLE

Ownership to the goods shall remain vested in SafeGear and shall not pass to the buyer until the purchase price for the goods has been paid in full and received by SafeGear.

 

5. SHIPPING AND DELIVERY

  • Shipping costs will be agreed after the order request is sent to the website. Shipping costs may vary depending on the goods weight, geographic location and access (floor, freight elevator, etc.)

  • You shall make all arrangements to take delivery of the Goods whenever they are tendered for delivery.

  • The specified date for delivery is approximate and we shall not be liable for any delay in delivery of the Goods howsoever caused. Time for delivery shall not be of the essence of the Contract unless expressly agreed in writing by us. We may deliver the Goods in advance of the quoted delivery date upon giving you reasonable notice.

  • If you ordered more than one product, your order may be split into several deliveries.

  • If the actual access conditions differ from the agreement, SafeGear can reserve the right to invoice you these additional costs, whether an order confirmation or invoice has already been sent or not.
  • If you fail to take delivery of the Goods or fail to give us adequate delivery instructions at the time stated for delivery then we reserve the right to:

(a) store the Goods until actual delivery and charge you for the reasonable costs (including insurance) of storage; or

(b) sell the Goods at the best price readily obtainable and (after deducting all reasonable storage and selling expenses) account to you for the excess over the price under the Contract or charge you for any shortfall below the price under the Contract.

 

Installation Service

Safes installation and bolting is made by a collaborator and not by SafeGear. Please note that this service is not refundable in the event of order cancellation. Please note that you are liable for delivery costs even in the event that our collaborator can not complete the installation due to  accessibility issues (door width, etc.). It is your entire responsibility to make sure that the floor can bear the weight and SafeGear can not be held liable for damages resulting from this.

 

6. WARRANTY

  • The buyer shall be required to give written notice of any recognisable shortfalls in quality, misdeliveries and other defects of quality within one week of delivery.

  • Unless otherwise agreed, products are provided with a 12-months warranty. Complaints must be made immediately a defect is found. Depending on the specific situation, you either get the product repaired or replaced, refunded or discounted. SafeGear is not responsible for profits loss or indirect losses.

  • Warranty does not apply if the damage is caused by incorrect use of the product or other injurious behaviors. For products with limited lifetime, warranty is only limited to the shelf-life that is normal for the product concerned.

 

7. RETURN POLICY

Please note that you can return a purchased item only if agreed in advance with SafeGear. Your item should be unused and in the same condition that you received it. Your item needs to have the receipt or proof of purchase.

You will be responsible for paying for your shipping costs for returning your item. Some items cannot, by their nature, be returned by regular mail but only by carrier. Shipping costs are non-refundable. If you receive a refund, shipping costs will be deducted from your refund.
The product must always be returned in protective packaging and get a receipt for shipment, so that we can reimburse your shipping costs.

8. INDEMNIFICATION

SafeGear must be indemnified and held harmless by the buyer of third party claims for such damage or loss, including reasonable attorney fees, for:

  1. Damage to real or personal property that occurs after SafeGear transferred ownership to buyer, unless due to SafeGear’s intent or gross negligence

  2. Damage to other products of which they form part.

 

If a third party makes a claim against either party, this party shall immediately inform the other party.

SafeGear’s liability is limited to intent and gross negligence with a limit of 1.5 times the contract value. SafeGear is not liable for consequential damages, loss of business, loss of profit or other indirect losses. The limitation of liability does not apply to damages to body or life.

 

9. FORCE MAJEURE

No Liability for Force Majeure Event. Safegear will not be liable for any failure of or delay in the performance of any of its obligations under this agreement if its failure or delay is due to the occurrence of a Force Majeure Event.

Definition of “Force Majeure Event.” In this agreement, “Force Majeure Event” means any event that

(i) is beyond the reasonable control of a party,

(ii) materially affects the performance of any of its obligations under this agreement, and

(iii) could not reasonably have been foreseen or provided against, but does not include general economic or other conditions affecting financial markets generally.

 

10. SEVERABILITY

If any part of this agreement is declared unenforceable or invalid, the remainder will continue to be valid and enforceable.

 

11. JURISDICTION

The Contract shall be governed by Danish law without its conflict of law provisions and without CISG. Exclusive place of venue shall be the court applicable for Herlev (Denmark).
